Affiliate and Referral Program Terms

Effective Date: September 30, 2026

These Affiliate and Referral Program Terms (the “Terms”) govern your participation in the dialnote Partner Program (the “Program”), run by HVIF Solutions Private Limited, operating as “dialnote” (“dialnote”, “we”, “us”, “our”). They apply to every campaign we run under the Program: affiliate campaigns, customer referral campaigns, code-based campaigns, double-sided campaigns, and any campaign we add later.

You accept these Terms when you tick the acceptance box while applying to the Program, or when you first use a Referral Link or Partner Code, whichever comes first. If you don’t agree to them, don’t apply and don’t promote dialnote under the Program.

1. Definitions

“Partner”, “you” or “your” means the individual or business accepted into the Program, whether you join as an affiliate (a publisher, creator, agency, consultant or other business promoting dialnote) or as a referrer (an existing dialnote customer recommending us to others).

“Partner Account” means your account in the Partner Portal.

“Partner Portal” means the dashboard we provide for the Program, where you see your Campaign Terms, links, codes, referrals, Commissions and payouts.

“Campaign” means a specific set of commercial terms under which we pay for referrals, such as a particular commission rate, attribution window or customer offer.

“Campaign Terms” means the terms of the Campaign you’re enrolled in, as shown in the Partner Portal and in your enrollment confirmation.

“Referral Link” means a tracking link we issue to you, including any link carrying your partner identifier (for example a ?via= parameter).

“Partner Code” means a discount or referral code that dialnote has issued and assigned to you.

“Referred Customer” means a new dialnote customer whose signup we attribute to you under Section 6.

“Qualifying Purchase” means the payment by a Referred Customer that earns a Commission, as defined in your Campaign Terms.

“Commission” means the amount we owe you for a Qualifying Purchase under your Campaign Terms and these Terms.

2. Accepting these Terms

We record the version of these Terms you accepted and when. If you accept on behalf of a business, you confirm that you’re authorised to bind it, and “you” means that business.

If you’re also a dialnote customer, our Terms and Conditions and Fair Use Policy still govern your own subscription. These Terms govern only your participation in the Program.

3. Eligibility and your Partner Account

To join the Program you must:

  • be at least 18 years old and legally able to enter into a binding contract;
  • give us accurate, complete application details, including the websites, channels or audiences where you plan to promote dialnote, and keep them up to date;
  • not be located in, or ordinarily resident in, a country or region subject to comprehensive sanctions, and not appear on any government sanctions or restricted-party list; and
  • not be a dialnote employee or contractor, or a member of their household.

Agencies that manage dialnote accounts for clients are welcome, and must say so in their application. Undeclared agency activity can look like self-referral or fraud, and we’ll treat it that way until it’s explained.

We may approve applications instantly, review them manually, ask for more information, or decline any application at our discretion. Approval doesn’t mean we’ve reviewed or endorsed your website or content.

Your Partner Account is tied to the email address you apply with. You may hold one Partner Account, and each email address can belong to only one Partner Account. You’re responsible for keeping your login secure and for everything that happens in your Partner Account. Tell us promptly at marketing@dialnote.com if you think someone else has accessed it.

4. One Partner, one Campaign

The Program runs several Campaigns, but each Partner takes part in only one of them. This rule keeps attribution clean and stops the same referral being paid twice.

4.1 One Campaign at a time

Each Partner, identified by the email address on their Partner Account, may be enrolled in only one Campaign at any time. This applies across every Campaign type, affiliate and referral alike. An existing customer who joins as a referrer can’t also join an affiliate Campaign, and an affiliate can’t also join a referral Campaign.

4.2 Related parties count as one Partner

For this Section, you and the following count as a single Partner: any business you own or control, any business that owns or controls you or is under common control with you, and anyone acting on your behalf (such as your employees, contractors or members of your household). Only one of you may be enrolled at a time.

4.3 No second accounts

You must not open another Partner Account, use an alias, or have someone else apply for you in order to join a second Campaign. If you do, it’s a material breach: we may close the extra accounts and void every Commission earned through them, and we may treat your original Partner Account the same way.

4.4 Moving between Campaigns

You can’t switch Campaigns yourself. We may move you to a different Campaign, or you may ask us to, and we’ll decide at our discretion. A move takes effect on the date we confirm it. Referred Customers attributed before that date stay under the old Campaign’s terms, and Referred Customers attributed after it fall under the new one.

4.5 One customer, one Commission

Each Referred Customer is credited to one Partner, under one Campaign, once. Commissions, discounts and customer benefits from different Campaigns never stack or combine.

4.6 Separate partner agreements

If you have a separately signed reseller, integration or other partner agreement with dialnote, that agreement decides whether you may also join the Program. If it says nothing, you can’t earn under both for the same customer.

5. Campaigns and Campaign Terms

We design Campaigns for different kinds of Partners and may run several at once. When you’re enrolled, your Campaign Terms will set out, as applicable:

  • how the Commission is calculated (a percentage or a fixed amount), and whether it’s paid once or recurs, and for how long;
  • which plans and payments count as a Qualifying Purchase, and which don’t;
  • the attribution window for Referral Links and the deadline for a Referred Customer to make a Qualifying Purchase;
  • the hold period before a Commission is approved;
  • any discount or benefit offered to Referred Customers, and for how long; and
  • any rules for your Partner Codes, including a different Commission for conversions that use them.

Which terms apply. Your Campaign Terms control the commercial points listed above. These Terms control everything else. If the two conflict, the Campaign Terms win only on the point they expressly address.

Changes to a Campaign. We may change or end a Campaign under Section 21. A change applies only to Referred Customers attributed after it takes effect. Each Commission is calculated under the Campaign Terms in force when the Referred Customer was attributed to you, and we don’t recalculate it later.

Individual terms. We may agree different Campaign Terms with you individually. If we do, they’re confidential under Section 19.

6. Referral Links, Partner Codes and attribution

6.1 Links and codes

We’ll give you Referral Links and, where your Campaign allows, Partner Codes. Use only the links and codes we issue to you, in the form we issue them.

6.2 How we attribute a signup

Unless your Campaign Terms say otherwise:

  • Last click wins. A visitor who clicks Referral Links from more than one Partner is attributed to the Partner whose link they clicked last, provided they sign up within the attribution window in that Partner’s Campaign Terms.
  • A code beats a link. If a new customer enters a valid Partner Code at signup or checkout, the signup is attributed to that code’s Partner, even if they last clicked someone else’s Referral Link.
  • New customers only. A person or business that already has, or has had, a dialnote account, including a trial account, isn’t a Referred Customer, whichever link they click.
  • The Referred Customer must make a Qualifying Purchase before the deadline in your Campaign Terms.

6.3 The limits of tracking

Referral Links rely on a first-party cookie set when someone clicks your link. Tracking can fail if a visitor blocks or clears cookies, uses private browsing, switches devices, or uses an in-app browser. We can only pay Commissions we can trace, and Partner Codes are the most reliable way to reach audiences who won’t click a link. You must not try to set or alter our tracking cookie by any means other than a genuine click on your Referral Link.

6.4 Our records and disputes

Our tracking records decide attribution. If you think a referral is missing or was attributed wrongly, email us within 60 days of the signup with whatever evidence you have. We keep the click history and will review it in good faith, and our decision after that review is final.

7. Commissions

You earn a Commission only on a Qualifying Purchase, calculated under your Campaign Terms. Unless your Campaign Terms say otherwise, Commissions are calculated on the plan subscription fee the Referred Customer actually pays, after discounts, and exclude:

  • taxes;
  • add-ons, extra phone numbers, and number porting or setup fees;
  • wallet top-ups, usage credits, calling and messaging usage, and overages; and
  • carrier, regulatory and registration fees (such as A2P 10DLC fees).

No Commission is earned for:

  • a self-referral (see Section 15);
  • a customer who isn’t new under Section 6.2, or who cancels and signs up again;
  • a payment that is refunded, reversed, charged back or never collected;
  • an account we suspend or close for breaching our Terms and Conditions, or that we reasonably believe is fraudulent or a test; or
  • a referral obtained in breach of these Terms.

8. Hold period, approval and reversals

A new Commission starts as pending and is held for the hold period in your Campaign Terms (30 days if they don’t set one). At the end of the hold period, we approve the Commission if the underlying payment hasn’t been refunded, reversed or charged back, the subscription hasn’t been cancelled for a refund, and there’s no unresolved concern about fraud or a breach of these Terms. Otherwise, we void it.

If a payment behind an approved or paid Commission is later refunded, reversed or charged back, we’ll reverse that Commission. We normally recover a reversed Commission by deducting it from your future Commissions, which may leave your balance negative until it’s recovered. If the Commission came from fraud or a breach of these Terms, we may also ask you to repay it, and you agree to do so within 30 days of our request.

We may extend the hold on any Commission while we investigate suspected fraud or a breach. We’ll tell you when we do.

9. Payouts

9.1 Requesting a payout

Approved Commissions add to your balance. Once your balance reaches US$100, you can request a payout from the Partner Portal at any time, and the request withdraws your full available balance. If you don’t request one, dialnote pays out approved balances periodically.

9.2 Payment method and currency

We pay by PayPal, in US dollars. Partners based in India are paid by UPI, in the Indian rupee equivalent, converted at the rate on the date we approve the payout. Keep a valid PayPal account (or, in India, a valid UPI ID) on your Partner Account. We aren’t responsible for payments sent to details you gave us that turn out to be wrong.

9.3 Timing and fees

We review every payout before we send it. dialnote currently pays the payment processor’s fees for payouts. We may change this with at least 30 days’ notice, and we won’t change it for a payout you’ve already requested. Your own bank may still charge you to receive funds.

9.4 Unclaimed balances

If we can’t pay your balance for 12 months after your most recent approved Commission because you haven’t given us valid payout or tax details, the balance lapses and we’re no longer obliged to pay it. We’ll remind you by email before this happens.

9.5 Holding payouts

We may hold a payout while we verify your identity, payout details or tax information, or while we investigate suspected fraud or a breach of these Terms.

10. Taxes

You’re responsible for all taxes on the Commissions you receive. Before your first payout, we may ask for tax information, such as a PAN (and GSTIN if you’re registered) in India, a Form W-9 in the United States, or a Form W-8 elsewhere. We won’t pay out until we have what the law requires us to collect.

Where the law requires us to withhold tax from a payment to you (for example, TDS in India), we’ll withhold it, pay it to the relevant authority, and pay you the rest. If you’re registered for GST, VAT or a similar tax, tell us before your first payout.

11. How you may promote dialnote

You choose how to promote dialnote, within these rules:

  • Be accurate. Describe dialnote’s features, plans and prices as they appear on dialnote.com today. Don’t claim features we don’t offer, and check our pricing page rather than quoting old prices from memory.
  • Don’t promise results, savings or earnings on dialnote’s behalf, and don’t offer guarantees, refunds or support that we haven’t published.
  • Use the logos, screenshots and brand assets we supply, without altering them.
  • Make it clear that you’re independent. Never present yourself as dialnote, as dialnote’s support team, or as an official reseller unless we’ve agreed that in writing.
  • Follow the law and the rules of every platform you use, including advertising, consumer protection and anti-spam law.

If you contact people directly (by email, message, phone or otherwise), you do it as yourself, under your own name, and you’re responsible for having a lawful basis to contact them and for honouring opt-outs. dialnote isn’t the sender of your messages.

12. Disclosing your relationship with us

Whenever you promote dialnote under the Program, you must clearly disclose that you may earn a Commission or other benefit. The disclosure must be easy to see, placed near the recommendation or link (not only in a footer or an “about” page), and in the same language as the content. On video, audio and live content, say it out loud as well as in the description.

This is required by, among others, the US Federal Trade Commission’s Endorsement Guides, the Advertising Standards Council of India’s influencer guidelines, the UK CAP Code and CMA guidance, and similar rules elsewhere. You’re responsible for meeting the disclosure rules that apply to your audience.

13. Discounts, codes and deal sites

You may advertise only the Partner Codes we’ve issued to you, and only on the terms we issued them (including any expiry date or redemption limit). You must not:

  • invent, guess or advertise a discount, code, deal or free offer we haven’t issued to you;
  • publish another Partner’s code, or a code meant for a single named customer;
  • keep advertising a code after it has expired or been withdrawn; or
  • describe a standard offer (such as our free trial) as an exclusive deal.

Coupon, deal and cashback sites may join the Program, provided they publish only official Partner Codes and accurate offer details. We may ask you to remove or change a listing, or decide that conversions from a particular placement don’t earn a Commission from a date we tell you, if we reasonably believe it’s claiming credit for customers who were already buying.

14. Trademarks and paid search

14.1 Licence to use our brand

While you’re in the Program, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the dialnote name, logo and the brand assets we supply, solely to promote dialnote under these Terms. All goodwill from that use belongs to dialnote. The licence ends when your participation ends.

14.2 Paid search and advertising

Unless we’ve agreed otherwise in writing, you must not:

  • bid on “dialnote”, “dial note”, or any misspelling, variation or phrase containing our brand (such as “dialnote pricing” or “dialnote coupon”), in any search engine, marketplace or ad platform. If you run broad-match or similar campaigns, add our brand terms as negative keywords;
  • use our brand in ad copy, display URLs or sitelinks in a way that could make an ad look like it comes from dialnote;
  • send paid traffic straight to dialnote.com through your Referral Link, rather than to your own content first; or
  • register or use a domain, subdomain, social media handle, app name or business name that contains “dialnote” or anything confusingly similar.

Brand bidding is a serious breach. We may end your participation for it on the first occurrence, without a warning period.

15. Prohibited conduct

You must not, and must not let anyone else acting for you:

  • refer yourself: use your own Referral Link or Partner Code for your own account, a business you own or work for, or a member of your household. We’ll decline self-referrals and record the reason in your Partner Account;
  • stuff cookies, force clicks, or use hidden frames, pop-unders, adware, browser extensions, or anything else that sets our tracking cookie without a genuine, deliberate click;
  • buy bot, incentivised or otherwise non-genuine traffic, or pay or reward people to sign up, unless your Campaign Terms expressly allow it;
  • send spam or unsolicited messages, or promote dialnote in breach of laws such as CAN-SPAM, the TCPA, CASL, PECR or the GDPR;
  • encourage an existing dialnote customer to cancel and sign up again through your link or code;
  • make false or misleading statements about dialnote, its competitors, or your relationship with us;
  • place our brand or your links next to content that is unlawful, sexually explicit, hateful, violent, discriminatory, defamatory, infringing, or aimed at children;
  • give us false information, or try to manipulate hold periods, attribution or payouts; or
  • break any law in connection with the Program.

For a minor, good-faith breach, we’ll normally tell you what’s wrong and give you 7 days to fix it, and we may withhold Commissions on the affected referrals during that time. We don’t offer a fix-it period for fraud, self-referral, cookie stuffing, spam or brand bidding.

16. Data protection

You’re an independent controller of any personal data you collect while promoting dialnote, and you must handle it lawfully, including having a lawful basis for any contact and publishing your own privacy notice where the law requires one.

The Partner Portal shows you limited information about your referrals, such as signup and conversion status and country. Use it only to track your Program performance. Don’t try to identify or contact Referred Customers using it, and don’t share it with anyone else.

We process your personal data (such as your name, contact details, payout and tax information, and click and referral records) to run the Program, as described in our Privacy Policy.

17. Referred Customers

Referred Customers are dialnote’s customers. We set their prices, terms, discounts and support, and we may accept, refuse, suspend or close any customer account under our Terms and Conditions. You can’t accept payments, make commitments, or agree terms on our behalf. If you manage a client’s dialnote account as a declared agency, you do so under the client’s authority and our Terms and Conditions.

18. Our relationship

You’re an independent contractor. Nothing in these Terms creates an employment, agency, partnership, franchise or joint venture relationship, and neither of us can bind the other.

The Program is non-exclusive. You may promote other products, including competitors, and we may work with other partners, including in your market or niche.

19. Confidentiality

Keep confidential any non-public information we share with you through the Program, including individual Campaign Terms, unreleased features, and Partner Portal data, and use it only for the Program. This doesn’t cover information that is or becomes public through no fault of yours, or that the law requires you to disclose.

20. Suspension and termination

By you. You can leave the Program at any time by closing your Partner Account or emailing marketing@dialnote.com.

By us. We may end your participation for any reason with 30 days’ notice, or immediately if you breach these Terms, if we’re required to by law, or if we reasonably believe your activity is fraudulent or could harm dialnote’s reputation. While we investigate, we may suspend your Referral Links, Partner Codes and payouts.

What happens next. When your participation ends, your Referral Links and Partner Codes stop earning, and you must stop using our brand and remove our links and codes within 14 days. Commissions that are approved when your participation ends, or that are pending then and later approved, are paid under Section 9, including the unclaimed balance rule. If we end your participation for a breach, you lose all pending and unpaid Commissions connected to that breach, and we may withhold your entire balance where the breach is fraud, self-referral, cookie stuffing, spam or brand bidding.

Sections 8, 9, 10, 16, 19, and 22 to 26 survive the end of your participation.

21. Changes to these Terms and the Program

We may change these Terms, a Campaign, or the Program. For a material change, we’ll email you and post a notice in the Partner Portal at least 30 days before it takes effect. Changes that are required by law, or that only clarify these Terms without reducing your rights, may take effect when we publish them. If you keep taking part after a change takes effect, you accept it. If you don’t agree, you can leave the Program before then.

We may pause or end a Campaign or the whole Program with at least 30 days’ notice. Commissions for Referred Customers attributed before the end date are still paid under the Campaign Terms that applied to them and these Terms.

22. Disclaimer

THE PROGRAM, THE PARTNER PORTAL, OUR TRACKING AND OUR BRAND ASSETS ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED. WE DON’T PROMISE THAT TRACKING WILL CAPTURE EVERY REFERRAL, THAT THE PARTNER PORTAL WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT YOU’LL EARN ANY PARTICULAR AMOUNT.

23. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE TO THE OTHER FOR ANY LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING FROM THESE TERMS OR THE PROGRAM. dialnote’s TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE PROGRAM IS LIMITED TO THE COMMISSIONS PAID OR PAYABLE TO YOU IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limits don’t apply to your indemnification obligations, to your breach of Sections 14 or 15, or to any liability that can’t be limited by law.

24. Indemnification

You’ll defend, indemnify and hold harmless dialnote and its affiliates, directors, employees and contractors from all claims, losses, fines and expenses (including reasonable legal fees) arising from your promotional content or activities, your breach of these Terms, your violation of any law or third-party right, or any claim by someone you contacted while promoting dialnote.

25. Governing law and disputes

These Terms are governed by the laws of India, excluding its conflict of laws rules. We’d rather settle any disagreement directly, so please contact us first. Any dispute arising from these Terms or the Program that we can’t resolve together is subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

26. General

Entire agreement. These Terms, your Campaign Terms, and any policies they refer to are the entire agreement between us about the Program, and replace any earlier discussions about it.

Assignment. You can’t transfer your Partner Account, Commissions or rights under these Terms without our written consent. We may assign these Terms to a successor to our business.

Notices. We’ll send notices to the email address on your Partner Account and may also post them in the Partner Portal. Send notices to us at marketing@dialnote.com, or by post to HVIF Solutions Private Limited, Plot no. 49, Road no. 2, Phase 2, Agricultural Colony, Hasthinapuram Central, Hyderabad, Telangana, India - 500070.

Waiver and severability. If we don’t enforce a right, we haven’t waived it. If any part of these Terms is unenforceable, it’s limited to the minimum extent needed and the rest remains in force.

Force majeure. Neither party is liable for a delay or failure caused by events beyond its reasonable control.

Language. If we provide these Terms in another language, the English version controls.
